Brief Description

The Director, Corporate and Securities reports to the Executive Director, Corporate and Securities, and is a key member of the Legal department. The Director will provide leadership on a wide range of corporate, securities, and governance matters, including:

  • Securities matters — ensuring compliance with SEC and Nasdaq rules and regulations
  • SEC filings — preparing and reviewing all required filings
  • Board support — assisting with matters related to the board of directors
  • Corporate governance — advising on governance, investor relations, and executive compensation

Essential Functions / Responsibilities

Securities and Corporate Governance

  • Ensure compliance with federal and state securities laws, including ’34 Act and ’33 Act reporting, Nasdaq compliance, Regulation FD, and insider trading.
  • Prepare and/or review SEC filings, including Form 10‑K, Form 10‑Q, Form 8‑K, proxy statements, Section 16 filings, and registration statements.
  • Maintain governance policies and practices, including corporate governance guidelines, committee charters, and other governing documents.

Investor Relations and Executive Compensation

  • Review and advise on investor materials, including quarterly earnings releases, investor presentations, annual reports, sustainability reports, and other external communications.
  • Advise on executive compensation activities and maintain/update equity award agreements and related documents.
  • Support the Total Rewards team in administering employee compensation and benefits programs.

Other Responsibilities

  • Collaborate with cross‑functional teams, including finance, accounting, tax, and internal audit.
  • Assist with capital markets activities, including debt offerings, credit agreements, treasury matters, and strategic transactions such as M&A, dispositions, joint ventures, and investments.
  • Provide corporate governance support, including Corporate Sustainability and Social Impact/ESG.
  • Perform additional functions and projects as assigned.

Required Knowledge, Skills, and Abilities

  • Juris Doctorate (J.D.) from an accredited law school; licensed to practice law in the U.S.
  • Membership in good standing in a state bar with no suspensions or disciplinary history.

Required / Preferred Education and Experience

  • Minimum 7 years of experience combined in‑house and/or at a law firm; biotech/pharma experience preferred.
  • Self‑motivated and proactive, with excellent judgment and strategic thinking.
  • Ability to multi‑task and pivot quickly in a fast‑moving environment.
  • Ability to advance new ideas and recognize broad organizational impacts.
  • Strong accountability and ability to drive issues to closure.
  • Strong legal analysis with accurate, well‑reasoned advice.

Compensation (U.S.‑Based Candidates Only)

Jazz Pharmaceuticals, Inc. is committed to fair and equitable compensation practices. For this role, the full base pay range is:

$224,000.00 – $336,000.00

Individual compensation within this range depends on qualifications, skills, experience, job knowledge, and internal equity considerations.

Compensation may also include:

  • Annual cash bonus or incentive compensation
  • Discretionary equity grants under the Long Term Equity Incentive Plan
  • Participation in benefits programs including medical, dental, vision, 401(k), and flexible paid vacation
