## Position Summary
JetBlue is seeking a strategic and business‑minded Vice President & Associate General Counsel to lead key areas of the Company’s legal function, with a focus on commercial transactions. A background in corporate transactions, including real estate, with knowledge of privacy and data governance, and emerging technology (including AI) would be ideal. This executive will partner closely with senior leadership to enable innovation while managing legal and regulatory risk in a highly dynamic, consumer‑facing, and regulated industry. The ideal candidate brings deep expertise in complex commercial contracting, privacy and technology regulation, infrastructure and real estate matters. This role reports to the General Counsel and serves as a trusted advisor across the organization, helping drive strategic initiatives consistent with JetBlue’s values of Safety, Caring, Integrity, Passion, and Fun.

## Essential Responsibilities
– **Commercial agreements** — Structure, draft, and negotiate complex commercial agreements, including sourcing, technology, digital, operations, and strategic partnerships
– **Real estate matters** — Advise on real estate and infrastructure matters, including airport agreements, leases, facilities development, and related transactions
– **Privacy and data governance** — Lead JetBlue’s legal strategy for privacy, data governance, and cybersecurity, ensuring compliance with evolving domestic and international regulations
– **Emerging technology** — Provide legal oversight for emerging technology initiatives, including AI governance and responsible innovation
– **Strategic transactions** — Track record of leading complex, high‑value commercial and strategic transactions
– **Outside counsel management** — Manage outside counsel and external advisors effectively and efficiently
– **Team leadership** — Lead and develop a high‑performing team of legal professionals
– **Crewmember development** — Take a significant role in the development of crewmembers to support their engagement, growth, and goal achievement
– **Other duties** as assigned

## Minimum Experience and Qualifications
– **J.D. degree** and admission to practice law in at least one U.S. jurisdiction
– **10+ years legal experience** in a major law firm and/or in‑house legal department
– **Commercial & technology agreements** experience drafting and negotiating complex agreements
– **Real estate transactions** and infrastructure‑related experience
– **U.S. privacy laws** (e.g., CCPA/CPRA) and familiarity with global data protection frameworks (e.g., GDPR)
– **Compliance program design** and risk mitigation experience
– **Executive presence** and ability to influence senior stakeholders
– **Business acumen** and solution‑oriented mindset
– Available for occasional overnight travel (10%)
– Must pass a pre‑employment drug test
– Must be legally eligible to work in the country in which the position is located
– Authorization to work in the U.S. is required; this position is not eligible for visa sponsorship

## Preferred Experience and Qualifications
– **Aviation or regulated industries** experience strongly preferred
– **In‑house legal leadership** at VP, AGC, or equivalent level; experience advising executives
– **Technology transactions**, digital platforms, mobile apps, emerging technologies (including AI); cloud and SaaS procurement
– **Global privacy programs**; certifications such as CIPP a plus
– **Regulatory investigations**, cybersecurity incidents, or crisis response experience
– **International legal experience** across multiple jurisdictions
– **Legal team scaling** and leadership experience

– **Attendance and punctuality**
– Potential need to work flexible hours and respond on short notice
– Able to maintain a professional appearance
– When working or traveling on JetBlue flights, and if time permits, all capable crewmembers are asked to assist with light cleaning of the aircraft
– Promote JetBlue’s #1 value of safety as a Safety Ambassador, supporting JetBlue’s Safety Management System (SMS), Safety Policy, and behavioral standards
– Identify and report safety and security concerns, issues, incidents, or hazards through JetBlue’s confidential reporting systems (ASAP or SAR)
– Responsible for adhering to all applicable laws, regulations (FAA, OSHA, DOT, etc.) and Company policies, procedures, and risk controls

– Responsible for ensuring crewmembers have requisite training, resources, and support to achieve safety objectives

## Compensation
The base pay range for this position is between $240,000.00 and $330,000.00 per year. Base pay is one component of JetBlue’s total compensation package, which may also include performance bonuses, restricted stock units, healthcare benefits, a 401(k) plan and company match, crewmember stock purchase plan, disability coverage, basic life insurance, free space‑available travel on JetBlue, and more.
