Job Summary
Paycor is looking for an experienced Senior Corporate Counsel (Commercial Transactions) to join its Legal Team. The attorney will be responsible for providing best-in-class commercial support for Paycor’s largest and most impactful agreements. They will be responsible for leading and negotiating a broad range of commercial agreements that enable strategic innovation and revenue growth objectives. They will represent and advise Paycor in substantial legal and business transactions requiring legal expertise and involving a high degree of complexity, evaluation of novel issues, operational considerations, and vigorous adverse parties. This position will seamlessly work cross-functionally with clients, prospects, outside legal counsel, and internal business partners. The role will report to the Associate General Counsel, Commercial.
Essential Duties and Responsibilities
- Serves as lead Legal partner to Paycor’s Sales and Strategic Partnerships teams to negotiate and close the company’s most strategic and complex commercial transactions.
- Facilitates strategic initiatives and influences policies to align to the company’s goals for new verticals, markets, and strategic growth initiatives.
- This role will be primarily responsible for ensuring that contract and operational terms are consistent with business objectives, that appropriate risk tolerances are achieved, and proposing alternatives that lead to optimal solutions.
- Responsible for structuring new contract models for revenue-generating commercial agreements requiring new economic, operational, and legal/risk provisions, including with highly regulated customers and partners.
- Establishes strong relationships with and serves as a trusted advisor to the Sales leadership, strategic partnership, procurement, product, finance, and client services teams.
- Proactively identifies issues related to the areas of the business supported and provides clear, business-oriented counsel on issues regularly seen within the business.
- Develops and provides training to internal clients to ensure enterprise-wide understanding of key legal topics and support efficiency in deal closing.
- Develops and implements process improvement initiatives to increase efficiency of legal and business activities (simplify standard terms, eliminate unnecessary steps to close deals, automate routine tasks to scale the commercial team).
- Responsible for drafting, analyzing, and negotiating complex commercial agreements.
- Leads negotiations through coordinating cross-functionally within Paycor to effectively craft deal strategies and to provide innovative advice for Paycor.
- Serves as a team lead in training, developing, and supporting other legal teammates in drafting and negotiating commercial agreements and supporting new offerings.
- Reviews and manages potential and existing customer disputes and litigation, using and managing outside counsel as needed.
Requirements
To perform this job successfully, an individual must be able to perform each essential duty satisfactorily. The requirements are representative of the knowledge, skill, and/or ability required.
- Juris Doctor degree from an ABA-accredited law school.
- Admitted to the bar in a U.S. state and in good standing with the relevant bar association(s) in the U.S. state(s) where licensed to practice law.
- 10+ years of commercial and technology contracting experience – law firm and in-house experience.
- Possesses a drive to win, with a demonstrated ability to think strategically, identify and anticipate potential issues, navigate complex issues, and craft solutions.
- SaaS and/or public company experience preferred; HCM or fintech industry experience a plus.
- Experience in a fast-paced sales-driven environment.
- Experience directly negotiating complex sales, marketing, or partner agreements and successfully resolving complex legal discussions with external parties.
- Experience working with multiple client-side stakeholders such as sales, privacy, product, regional counsel, risk, and regulatory.
- Familiarity with U.S. data privacy laws in the context of commercial transactions, with the ability to integrate these principles directly into deal negotiation and decisions.
- Practical yet creative problem-solving approach that balances risk mitigation with business-oriented counsel.
- Ability to independently address complex and novel opportunities in creative and effective ways.

We also offer competitive compensation determined by each individual’s relevant experience, skills, and education. We anticipate the base pay for this position to be between $130,100 – $222,107. In addition to base pay, Paycor Associates are eligible for either a performance-based annual bonus or commission, depending on the position.
