By streamlining competing priorities and viewpoints, we aim to increase manufacturing capacity and technology adoption, boost the number of available suppliers, and diversify investment into the defense industrial base.

Position Summary:

The General Counsel will be responsible for overseeing all legal matters pertaining to BlueForge Alliance, with a particular focus on compliance with federal contracting regulations. This position reports directly to the Chief Financial Officer and will work closely with executive leadership to ensure that legal risks are managed effectively and that the organization operates within the bounds of the law.

Essential Duties and Responsibilities:

  • Provide strategic legal advice and guidance to senior management on a wide range of issues, including contract negotiation and interpretation, regulatory compliance, employment law, intellectual property, and litigation management.
  • Ensure compliance with all federal contracting regulations, including but not limited to the Federal Acquisition Regulation (FAR) and Defense Federal Acquisition Regulation Supplement (DFARS).
  • Review, draft, and negotiate contracts, subcontracts, teaming agreements, and other legal documents to protect the interests of BlueForge Alliance and mitigate legal risks.
  • Manage and oversee all litigation matters involving the company, including working with outside counsel as necessary.
  • Develop and implement corporate policies and procedures to ensure legal compliance and mitigate risk.
  • Provide legal support and guidance to various departments within the organization, including Human Resources, Finance, and Operations.
  • Stay informed about changes in relevant laws and regulations and communicate potential impacts to senior management.
  • Conduct legal research and analysis as needed to support business objectives and initiatives.
  • Collaborate with external stakeholders, including government agencies, legal counsel, and industry associations, to represent the interests of BlueForge Alliance and ensure compliance with contractual obligations.
  • Coordinate Board of Directors meetings as required.
  • Start-up company and compliance program implementation helpful.
  • Performs other related duties as assigned.

Required Skills/Abilities:

  • Strong understanding of federal contracting regulations, including FAR and DFARS.
  • Proven track record of providing strategic legal advice and guidance to senior management.
  • Excellent negotiation, drafting, and communication skills.
  • Ability to manage multiple projects simultaneously and prioritize workload effectively.
  • Strong analytical and problem-solving skills.
  • Ability to work collaboratively in a fast-paced, dynamic environment.
  • Proficient with Microsoft Office Suite or related software.

Education, Certifications, and Experience:

  • Juris Doctor (J.D.) degree from an accredited law school.
  • Admission to the bar in the state of Texas, with eligibility for in-house counsel status.
  • Minimum of 10 years of experience practicing law, with a focus on federal contracting and regulatory compliance.
  • Multi-state experience preferred.

Physical Requirements:

  • Prolonged periods of sitting at a desk and working on a computer.
  • Ability to lift up to 20 pounds.

Travel Expectations:

Expected travel: minimal to Washington, DC
