## Corporate Counsel II
### What You Will Be Doing

In this role, reporting to the Associate General Counsel, you will provide legal support and day-to-day contracting needs for assigned business units and various transactional projects. You will serve as the primary point of contact for business clients and will draft, negotiate, review, and approve (within guidelines) GPO member and supplier agreements, channel partner agreements, consulting agreements, confidentiality agreements, and other documents. Additional responsibilities may include conducting training sessions on relevant legal matters and advising business teams on regulatory compliance, with an emphasis on healthcare regulations.
This role requires independent work on moderately complex legal matters, ownership of day-to-day assignments, and support on projects. You will work in a fast-paced, competitive GPO environment and interact with business teams, management, senior leadership, Premier members, regulatory agencies, suppliers, business partners, and outside counsel.

## Key Responsibilities
### Responsibility #1 – 80%
– Independently draft, negotiate, and review contracts and amendments relating to membership and participation in Premier GPOs by:
– Non-acute healthcare GPO members (long-term care, nursing homes, senior living facilities, physician practices)
– Suppliers of facilities services to hospitals and other acute care GPO members
In each case, identify and address potential regulatory and contractual issues that may affect business implementation.
– Advise business unit leaders on contract interpretation and legal obligations, with input from senior attorneys; prepare legal communications.
– Collaborate with other attorneys to support additional service line contracting needs as necessary.
### Responsibility #2 – 20%
– Assist Associate General Counsel, Deputy General Counsel, and General Counsel with transactional matters, acquisition integration, marketing collateral review, public relations materials, and special projects.
– Support litigation team in dispute management and resolution, including litigation holds, subpoena responses, government inquiries, and drafting/reviewing claims, motions, and opinions.
– Collaborate internally to respond to contract breach notices and terminations; assist with revenue recovery initiatives.
– Research legal issues and stay current with case law and court opinions.
– Develop and contribute to commonly used templates for GPO contracts.
– Respond to inquiries from GPO members and suppliers.

## Required Qualifications
### Work Experience
– 7 or more years of applicable experience
### Education
– Juris Doctorate (Required)
### Certifications/Licensing
– Active member of a state bar

– Strong work ethic and sense of urgency; ability to act quickly and adapt.
### Experience
– 6–9 years of strong transactional experience drafting and reviewing commercial agreements and negotiating contracts.
– Experience analyzing matters involving the federal Anti-Kickback Statute and strong understanding of healthcare law compliance highly preferred.
– Knowledge of basic antitrust principles is an asset.
### Education
– Juris Doctor from an accredited law school

## Compensation
Premier’s compensation philosophy ensures pay is reasonable, equitable, and competitive.
Internal salary range for this role: **$141,000 – $234,000**.
Final salary depends on market factors including departmental budgets, internal equity, education, unique skills/experience, and geographic location. Premier uses a wide-range salary structure to allow flexibility.
